     These Terms & Conditions constitute the agreement (“Agreement”) between One Stop Telecom. (“Carrier”, “we,” “us” or “One Stop Telecom”) and the end user (“you”, “your” or “Customer”) of One Stop Telecom’s Business VOIP Services and the provision of any related devices or equipment (“Service”, “Services”). Customer and One Stop Telecom may be collectively referred to herein as the “Parties”, and individually as “Party”. This Agreement governs the Service as well as use of One Stop Telecom -supplied hardware, and any other IP-PSTN device used in conjunction with the Service. By signing an agreement for Services to activate One Stop Telecom services (“Order”), you acknowledge that you have read, understand, and agree to these Terms and Conditions, have the legal authority to bind any entity on whose behalf you are signing, and are of legal age to enter into this Agreement.

    1. SERVICE

    1.1 START OF SERVICE, BILLING DATES, AND PRORATING – You agree to fulfill the complete “Contract Term” designated on the applicable Order that you signed. You will be placed on a Billing Cycle for the selected Contract Term. For Standard Billing Cycles, Monthly Service Term begins on the first day of the month and ends on the last day of the month. Billing is processed during the first week of each month. For high volume customers, the Billing Date is determined by One Stop Telecom based on Contract Term/billing cycle with One Stop Telecom. The Account Activation Date is the date that your account is set up on One Stop Telecom. The Service Activation Date is the date that Services become usable by you. Invoices will be generated at the start of the billing cycle nearest to your Account Activation Date. The first invoice includes charges for prorated Monthly Recurring Charges (each an “MRC”) as well as Non-Recurring Fees (each an “NRC”), plus usage charges. Prorated charges are based on the number of days in the month in which Service was activated and are for each day of Service up to the first day of the next billing cycle. MRCs or other charges are billed to your account and processed during the first week of each month, or on another date as determined by your Contract Term and billing cycle arrangement with One Stop Telecom.  Additional Services may be activated by you via additional Orders or, in the instance of Services costing less than $100.00, informal written requests accepted and confirmed in writing by One Stop Telecom (email to suffice).

    1.2 CONTRACT TERMS AND USE OF SERVICES – The Contract Term refers to the initial length of the Term (in months) of Service that you ordered from One Stop Telecom and appears on the applicable Order. One Stop Telecom offers month-to-month, 12 (twelve), 24 (twenty-four) and 36 (thirty-six), 48 (forty-eight), 60 (sixty), 72 (seventy-two), and 84 (eighty-four) month Contract Terms. AUTOMATIC RENEWAL NOTICE: THE CONTRACT TERM WILL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS EQUAL TO THE INITIAL CONTRACT TERM (OR ONE MONTH IF THE INITIAL TERM IS MONTH-TO-MONTH) UNLESS CUSTOMER PROVIDES WRITTEN NOTICE OF NON-RENEWAL TO ONE STOP TELECOM AT LEAST THIRTY (30) DAYS PRIOR TO THE END OF THE THEN-CURRENT CONTRACT TERM. By signing the applicable Order, Customer affirmatively acknowledges and consents to this automatic renewal term. If you terminate Service prior to the end of your Contract Term, you will be responsible for the remaining Monthly Recurring Charges on all subscribed-to Services for each billable month left in your Contract Term, plus any applicable Cancellation/Disconnection Fees, a Cancellation Fee of $39.95 per account, plus any other unbilled charges, all of which become immediately due and payable upon termination or cancellation of Service/Contract. You remain fully responsible for all unpaid charges owed to One Stop Telecom at the time of expiration or termination of a Contract Term. You acknowledge and agree that unused free months or minutes or other special promotional offerings have no independent cash value and shall automatically expire upon the early termination or cancellation of Services.

    1.3 BUSINESS SERVICES – LIMITATIONS OF USE OF SERVICE(S), IP PHONE EQUIPMENT, FAX ANALOG TELEPHONE ADAPTER or ATA(s), AND INTEGRATED ACCESS DEVICE or IADS(S); PROHIBITION OF RESALE – If you have subscribed to One Stop Telecom Services, the Services are provided to you solely for your individual and exclusive use for normal volume uses. You acknowledge and agree that you may not resell or transfer the Services to any other person/entity for any purpose, without express written permission from One Stop Telecom. You further acknowledge and agree that you may not use the Services for high volume applications such as auto-dialing, continuous or extensive call forwarding, telemarketing, polling, charitable or political solicitation, fax broadcasting, or fax blasting without the prior written permission of One Stop Telecom for each instance of such use. One Stop Telecom offers Metered Services, which may be used for a variety of high volume applications (each a “Plan”). If you have subscribed to such One Stop Telecom Service Plans, including hosted PBX, SIP Trunks, audio conferencing, IP fax, or other similar Services, you are permitted to use the Services at the agreed upon rates and applicable Monthly Recurring Charges as described in your original Services Quote. Plans offered by One Stop Telecom that are categorized as ‘Unlimited’ (or ULD) plans are not to be used for High-Volume applications and are intended for regular business use between individuals. High-Volume applications, as respects ‘Unlimited’ (or ULD) plans, include use in excess of an average of a combined usage of 500 inbound and outbound minutes per user on each customer domain. These Plans may not be used to:

    • Perform auto-dialing or ‘predictive dialing’;
    • Trunk or forward your One Stop Telecom phone or fax number to other numbers that handle multiple simultaneous calls or to a private branch exchange (PBX) or a key system; or
    • Implement the Services in any way that is inconsistent with typical human operation, including automate use of the One Stop Telecom Services (e.g. use of desktop automation software or similar tools), violate the SMS/MMS Content Policy, or send voice calls or text messages indicative of phishing or spam.

    One Stop Telecom reserves the right to immediately modify or terminate the Services and Pricing, if One Stop Telecom determines that your use of the Services exceeds the stated limitations of use for the Services that you have subscribed to.

    For the avoidance of doubt, One Stop Telecom is a telecommunications and connectivity provider only and does not provide managed IT services, network administration, cybersecurity services, data backup, disaster recovery, endpoint management, server administration, software support, or other information technology services unless expressly stated in a separate written agreement signed by One Stop Telecom. Customer acknowledges and agrees that Customer is solely responsible for the security, configuration, maintenance, repair, compatibility, and ongoing operation of Customer’s internal networks, wiring, firewalls, routers, switches, Wi-Fi, computers, servers, software, third party applications, cybersecurity protections, credentials, and all other systems or environments not expressly provided by One Stop Telecom. One Stop Telecom shall have no responsibility or liability for any Service degradation, outage, security incident, data loss, interoperability issue, or other failure caused in whole or in part by Customer’s systems, third party systems, or the absence of IT services, support, monitoring, or maintenance. Any troubleshooting, guidance, or recommendations provided by One Stop Telecom in connection with Customer’s internal systems are provided solely as a courtesy, without warranty of any kind, and shall not be deemed to create any IT services obligation or other duty on the part of One Stop Telecom.

    1.4. ONE STOP TELECOM DEVICES  –  All equipment provided by One Stop Telecom, including any telephone handsets, 5G modems, routers, gateways, accessories, power supplies, antennas, SIMs, or related equipment, whether separately rented or included with Service (each a “Device” or collectively “Devices” or “Equipment”) are provided solely for use in connection with active One Stop Telecom Services. All Device(s), whether separately rented or included with a Service, are and shall remain the personal property of One Stop Telecom at all times. You shall not sell, pledge, encumber, lien, or permit any security interest in any One Stop Telecom Device(s). You grant One Stop Telecom the right to file UCC-1 financing statements to evidence ownership of any One Stop Telecom Device provided to you. Devices may not be used independently, resold, subleased, transferred, or used with another provider. Devices may only be used within the United States of America (“Territory”) unless expressly authorized in writing. You are solely responsible for proper installation and use in accordance with the associated user guides, installation instructions, and technical documentation provided by One Stop Telecom or the manufacturer (collectively “Documentation”). Any embedded or accompanying software is licensed, not sold, and is subject to applicable license terms.  Devices are rented for a fixed rental term, or provided as part of Services, as specified in the applicable Order between Customer and One Stop Telecom specifying the Devices, Services, pricing, and term. Risk of loss transfers to Customer upon the date which the Device(s) are delivered to the carrier for shipment or made available to Customer and remains with Customer until the Device(s) are returned, received, and accepted by One Stop Telecom. Customer shall keep Device(s) in good working condition, normal wear and tear excepted. Customer may not modify, open, repair, or alter Device(s) without prior written consent. Customer is responsible for loss, theft, or damage and is encouraged to maintain insurance covering replacement value. Upon expiration or termination of the applicable Service or rental term (including early termination), Customer must return all Devices to One Stop Telecom in accordance with this Agreement and within ten (10) calendar days. Customer must ensure that all Device returns are properly packaged (Customer bears all risk of loss or shipping damage until returns are received by One Stop Telecom) and shipped with tracking, at Customer’s sole expense, to the following address:

    If Device(s) are not returned within the required timeframe, or are returned damaged beyond normal wear and tear, Customer shall be charged the then-current replacement value, plus any applicable fees.

    1.5 LAWFUL USE OF ONE STOP TELECOM SERVICES(S) AND DEVICES, PROHIBITED USES, UNAUTHORIZED USAGE – You agree to use the Service(s) only for lawful purposes. This means that you will not use them for transmitting or receiving any communication(s) or material(s) of any kind when in One Stop Telecom’s sole judgment the transmission, receipt, or possession of such communication(s) or material(s) (i) would constitute a criminal offense, create a civil liability, or violate any applicable local, state, national or international law or (ii) encourages conduct or activities that would constitute a criminal offense, give rise to a civil liability, or otherwise violate any applicable local, state, national or international law. One Stop Telecom reserves the right to terminate your Service immediately and without advance notice if One Stop Telecom, in its sole discretion, believes you have violated any of the restrictions noted above. Upon termination, you are immediately responsible for the full month’s charges plus any unbilled or past-due charges accrued up to the end of the current Month-to-Month Term. You are liable for any and all use of the Service(s), IP Phone Equipment, Fax ATA(s), and IAD(s) by yourself and by any person making use of the Service(s), IP Phone Equipment, Fax ATA(s), or IAD(s) provided to you, and by accepting these Terms & Conditions, you agree to indemnify and hold harmless One Stop Telecom against any and all liability for any such use. If One Stop Telecom, in its sole discretion believes that you have violated the above restrictions, One Stop Telecom may forward the objectionable material, as well as your One Stop Telecom communication records and your personally identifiable information to the appropriate local, state, national, or international authorities for investigation and prosecution and you hereby consent to such forwarding.

    If your IAD, IP Phone Equipment, or Fax ATA, or a One Stop Telecom-issued IAD, IP Phone Equipment, or Fax ATA, is stolen, or you become aware that your One Stop Telecom Services are being stolen or fraudulently used by a third party (either directly, or through your own IAD/PBX equipment as in the case of SIP trunking customers), you must notify One Stop Telecom immediately by calling the One Stop Telecom Customer Support Line (530) 663-7867 or emailing support@onestop.expert. When you contact One Stop Telecom to report the problem, provide your One Stop Telecom account number and a description of the alleged theft or fraudulent use of Services. Until One Stop Telecom receives notification of the theft or fraudulent use, unauthorized traffic and usage charges will continue to accumulate and will be automatically charged to your One Stop Telecom account. You will be liable for all fraudulent use of the Services and device(s) stolen from you, and charges will be applied to your account. Notwithstanding anything to the contrary, One Stop Telecom will not issue credits for charges resulting from fraudulent use that arises out of third parties hacking into your equipment, the internet, or your Services. This hacking includes, but is not limited to, modem hijacking, wireless hijacking or other fraud arising out a failure of your internal/corporate procedures. Fraudulent continental USA calls will be billed at the rate of $0.01 per minute outbound and $0.01 inbound. International Calls will be billed per the International Rates associated with your One Stop Telecom account. Failure to contact One Stop Telecom as described above may result in termination of your Services.

    1.6 USE OF SERVICE(S), IP PHONE EQUIPMENT, FAX ATA(S), AND IAD(S) BY CUSTOMERS OUTSIDE THE UNITED STATES – One Stop Telecom provides the Services as well as live and email technical support for the Services solely within the United States. If you take the IAD, IP Phone Equipment, or Fax ATA, to a foreign country and use the Service from there, you do so at your own risk, including the risk that such activity violates the local or national laws in the applicable country. You are liable for any use of the Service(s), IP Phone Equipment, Fax ATA(s), and IAD(s) by yourself or any person making use of the Service(s), IP Phone Equipment, Fax ATA(s), or IAD(s) provided to you outside of the United States, including any violation of applicable export control laws or regulations, and you agree to indemnify and hold harmless One Stop Telecom against any and all liability for such use. One Stop Telecom reserves the right to terminate your Service immediately and without advance notice if it determines that you are using it outside the United States.

    1.7 LOSS OF CARRIER SERVICE(S) DUE TO POWER FAILURE, ISP OR BROADBAND OUTAGE, UNDERLYING NETWORK INFRASTRUCTURE, OR ACCOUNT SUSPENSION – You acknowledge and agree that the One Stop Telecom Service does not function in the event of power failure. You also acknowledge and agree that the Service is delivered to you through underlying network infrastructure that is not controlled by or provided by One Stop Telecom, including a working broadband Internet connection, and One Stop Telecom is not responsible for Service failures or unavailability due to underlying network infrastructure failures. In the event of a power or service outage, or unavailability of service from your Internet service provider (“ISP”), One Stop Telecom Service will not function. The Service will not function again until power is restored or the ISP outage is cured. You may have to reset or reconfigure One Stop Telecom equipment, IP Phone Equipment, Fax ATA(s), or IAD(s) prior to utilizing the Service again after a power failure or other ISP or broadband service interruption. During such outages, you will continue to be billed for the Service unless and until you cancel your service contract with One Stop Telecom.

    1.8 COPYRIGHT, TRADEMARK, UNAUTHORIZED USAGE OF SOFTWARE, HARDWARE, OR IAD(S) – The One Stop Telecom Service(s) any One Stop Telecom -issued hardware or software used to deliver the Service to you, plus all Services, information, documents and materials on One Stop Telecom’s website(s) are protected by trademark, copyright, or other intellectual property laws and international treaty provisions. All intellectual property, including without limitation, websites, corporate names, service marks, trademarks, trade names, logos and domain names (collectively “OST Materials”) of One Stop Telecom is the exclusive property of One Stop Telecom and nothing in this Agreement grants you the right to use any such OST Materials outside the scope of paid for Services. You acknowledge that you are not given license to use the One Stop Telecom -issued hardware or software, other than as a nontransferable, revocable license to use such OST Materials as necessary to utilize the Services and strictly in accordance with the terms of this Agreement. You agree that the IP Phone Equipment, Fax ATA(s), IAD(s) are exclusively for use in connection with the Services and that One Stop Telecom will not provide any passwords, codes, or other information that would enable you to use the IP Phone Equipment, Fax ATA(s), or IAD(s) for any other purpose. You agree not reverse engineer, recompile, disassemble, engineer, or otherwise manipulate the hardware or software provided by One Stop Telecom. If you use the Service through an IAD, IP Phone Equipment, or Fax ATA,  not provided by One Stop Telecom, you warrant and represent that you possess all required rights, including software and hardware licenses, to use the IAD, IP Phone Equipment, or Fax ATA with the Service and you will indemnify and hold harmless One Stop Telecom against any and all liabilities due to your use of such IAD, IP Phone Equipment, or Fax ATA with One Stop Telecom Service.

    1.9 TAMPERING WITH SERVICE(S), IP PHONE EQUIPMENT, FAX ATA(S), OR ONE STOP TELECOM ISSUED IAD(S) – If One Stop Telecom has issued you an IAD device, IP Phone Equipment, or Fax ATA, you may not change the electronic serial number or equipment identifier of the IAD, IP Phone Equipment, or Fax ATA or perform factory reset of the IAD, IP Phone Equipment, or Fax ATA. One Stop Telecom reserves the right to terminate your Service(s) if you tamper with the IAD, IP Phone Equipment, or Fax ATA, leaving you responsible for the remaining charges to the end of the agreed-to service term, plus any unbilled charges, plus applicable Cancellation Fee(s) all of which become due and payable and will immediately be charged to your credit card or account. Further, you agree not to hack or disrupt the Service or make any use of the Service that is inconsistent with its intended purpose.

    1.10 TRIAL PERIOD, RETURN OF IAD(S), IP PHONE EQUIPMENT, FAX ATA(S), AND DAMAGED PACKAGES – One Stop Telecom may provide a fourteen (14) day Trial Period during which time you may decide if you wish to continue the Services through the end of the Contract Term. If this trial period is extended to you, it must be done so in writing within the One Stop Telecom quote for services signed by you for acceptance. A verbal offer does not constitute eligibility for the Trial Period. The Services may be cancelled without penalty within fourteen (14) days of your Service Activation Date. You are responsible for all usage charges accrued during the Trial Period and must pay these charges immediately after the hardware IAD(s), IP Phone Equipment, and Fax ATA(s), have been returned to One Stop Telecom. For eligible refunds, hardware must be returned to One Stop Telecom within 14 days of the date the equipment was delivered to your location. This date of equipment arrival may be a different, and earlier, date than the Service Activation Date. Such hardware will be eligible for a refund of the net purchase price, less shipping and provisioning costs. Returned hardware must be received in the original and complete condition and packaging that it was originally sent in, meaning that all parts, accessories, documentation and materials are included with the return package. Upon receipt and inspection of the return package, One Stop Telecom will issue a credit for the original purchase amount of the equipment to your account or credit card. You are responsible for all cost and risks associated with the return shipment of the hardware. In the event that a One Stop Telecom package arrives to you in a visibly damaged condition, you must note the damage on the freight bill and retain a copy for your records. In such event, you must keep the original carton, all packing materials and parts intact in the same condition in which they were received from the carrier and contact One Stop Telecom’s Customer Care Department immediately.

    1.11 NUMBER RELEASE ON SERVICE TERMINATION – Upon termination of Service, One Stop Telecom may release a telephone number that you ported to One Stop Telecom from a previous service provider and used in connection with the Service or that you purchased with One Stop Telecom when establishing service. At your request, the number may be released to your new service provider, provided that your One Stop Telecom account is current including payment for any and all outstanding charges (including any outstanding Monthly Recurring Charges that remain on your Contract Term) and any applicable Cancellation Fees. To request a Number Release, you must submit a ‘LOA’ (Letter of Agency) to your new telephone/telephony service provider. Upon satisfaction of the above stated requirements for Number Release, One Stop Telecom will release your number to your new service provider. Telephone numbers that are inactive due to non-pay are not eligible for release and will not be approved for port-out until all past due and current charges are paid.

    1.12 TELEPHONE & ENHANCED TELEPHONY SERVICE DISTINCTIONS – You understand that the Service is not a traditional telephone service, but an Enhanced Telephony Service. Distinctions exist between traditional telephone service and the Enhanced Telephony Service provided by One Stop Telecom. The Service is subject to different regulatory treatment than telephone service. This treatment may affect your rights of redress before Federal, State or Provincial telecommunications regulatory agencies.

    1.13 OWNERSHIP AND RISK OF LOSS – Customer bears all risk of loss of, theft, or damage to the Service, IP Phone Equipment, Fax ATA(s), and IAD(s) provided as rentals or as part of the Service (title to which remains with One Stop Telecom at all times), from the time the Service is activated or the equipment is shipped, whichever occurs first, until the time it is cancelled by you and the Devices are returned to One Stop Telecom.

    1.14 411 SERVICE CHARGES – One Stop Telecom supports 411 Standard and Enhanced 411 Information Services. All 411 calls are billed at $2.50 per call.

    1.15 NO 0+ CALLING/NO TRADITIONAL FAX SERVICE – One Stop Telecom Service does not support 0+ calling (collect, third party billing, or calling card calls). One Stop Telecom does not support Traditional Fax Service at this time. One Stop Telecom instead offers One Stop Telecom IP FAX – an Internet faxing solution.

    1.16 LNP (PORTING) – You may request that phone numbers be ported to One Stop Telecom by submitting a completed LOA (Letter of Agency) and a current bill copy (less than thirty days old) from your current service provider. No port shall be accepted or submitted without this information. Pricing for porting DIDs to One Stop Telecom is $30.00 Per Number, unless otherwise stated by One Stop Telecom. Standard porting time is ten (10) to forty-five (45) days. You should specify the desired port date in the appropriate section of the LOA. One Stop Telecom will attempt to honor this date and will let you know the actual port date. Once the LOA and bill copy are received by One Stop Telecom shall initiate the port request and shall obtain a FOC (Firm Order Commitment) date. You will be provided with a FOC (Firm Order Commitment) date informing you when numbers are scheduled to be ported to One Stop Telecom. The fees for cancelling or changing a port of a DID to One Stop Telecom are determined by how soon before or after the FOC date a port is cancelled. Fees for cancelling a port are as follows:

    $10.00 PORT CANCELLATION/CHANGE FEE PER DID WITH CANCELLATION OCCURRING 48 HOURS OR MORE BEFORE SCHEDULED PORT FOC DATE

    $30.00 PORT CANCELLATION/CHANGE FEE PER DID WITH CANCELLATION OCCURRING WITHIN 48 HOURS OF SCHEDULED PORT FOC DATE

    $75.00 PORT CANCELLATION/CHANGE FEE PER DID WITH CANCELLATION OCCURRING WITHIN 24 HOURS OF SCHEDULED PORT FOC DATE

    $450.00 PORT CANCELLATION/CHANGE FEE PER DID WITH CANCELLATION OCCURRING LESS THAN 6 HOURS BEFORE OR WITHIN 24 OR MORE HOURS AFTER THE SCHEDULED PORT FOC DATE (AS IN A ‘SNAP-BACK’)

    One Stop Telecom shall assign the appropriate cancellation fees (as displayed above) to your One Stop Telecom account for any port cancellation that you request. Payment for cancellation fees occurring within a given month shall be payable within ten (10) days of your receipt of the invoice displaying the port cancellation fee(s).

    1. EMERGENCY CALLING SERVICES- 911 DIALING

    2.1 AVAILABILITY OF 911/EMERGENCY DIALING SERVICES– In compliance with the Federal Communications Commission (FCC) WC Docket No. 05-196, One Stop Telecom hereby advises all current retail One Stop Telecom customers that enhanced E911/911 calling services are available at this time, but may not be available in all service areas and may or may not function the same as traditional 911 Services.

    2.2 911 SERVICEABLE AREAS – Presently, One Stop Telecom offers E911/911 Services via underlying third party providers. 911 Services are available only within the Continental United States. One Stop Telecom routes 911 calls originating in the United States via 10-digit routing to PSAPs (Public Safety Answering Points) as well as via Selective Routers (where available). Selective Routers automatically recognize where a call is originating from based on the CLID (Caller ID) information and deliver the call to the most appropriate local PSAP. Presently, most 911 calls are routed via Selective Routers to the 911 Trunks of the PSAPS (where available). Services are not available in countries other than the Continental U.S.

    2.3 REGISTERED LOCATION AND E911/User Management Portal and 911 UPDATES – One Stop Telecom must have a 911 Registered Location Address on file for your phone number(s) in order to provide test or actual VOIP Services and 911 Emergency Calling Services to you. At the time your account is provisioned, One Stop Telecom will register one (1) phone number in the 911 databases for you. The Registered Location for your account is obtained from the Registered Location information that you provided on the E911 Services tab of the Services Quote Packet that you completed and supplied to One Stop Telecom for provisioning of test or actual Services. The Registered Location Information is then tied to the E911 CID field (911 Caller ID) display of your registered phone number. Please note that no 911 services are available for toll free phone numbers. You will be informed which of your phone number is registered and enabled for 911 Services in the One Stop Telecom E911 database.

    IMPORTANT: You understand that E911 Calls are routed to PSAPS based on the E911 CLID field associated with your phone number. If you change the number that you use for 911 calling, your 911 Services may not be available to you and may operate differently than normal. If you change the phone number that you use for 911 calling, you must register the new E911 CLID number and its associated address with One Stop Telecom in order to enable 911 capabilities for the number. Failure to do so may result in 911 services not being available to you when using an unregistered phone number. If the 911 call does not complete, it will be automatically routed to a National Emergency Call Center and you will be asked to verify your number and provide your physical location to the operator. There is a $150.00 charge for each 911 call placed from an unregistered phone number on the One Stop Telecom network.     2.4 ROUTING OF E911/911 CALLS – E911/911Calls are routed based on the E911CID field for your User within the One Stop Telecom User Management Portal (portal.onestop.expert). If you have subscribed to a standard One Stop Telecom Service Plan or IP Trunk Plan with a phone number, the main phone number on your One Stop Telecom account will automatically be registered in the E911/911 database prior to release to you (unless you specify otherwise or request additional numbers to be registered). If you change the number that you use for 911 Calling purposes and fail to register the number for 911 via the User Management Portal, your phone number(s) will not be recognized when placing an E911/911 call, resulting in the call failing or being sent to a National Emergency Call Center Operator, who will require you to supply your current address information. Calls from all non-registered numbers and well as calls resulting in incorrect routing due to the User’s not using the E911/911 service in accordance with One Stop Telecom’s terms of service will result in a charge of $150.00 per call. Calls from registered numbers which result in correct routing to the local PSAP (Public Safety Answering Points) will be billed at $2.00 per call.

    2.5 PSAP LIMITATIONS AND THE HANDLING OF E911/911 CALLS – Presently, One Stop Telecom routes E911/911 calls from Registered DIDs to Emergency Services Operators at the various PSAPs (Public Safety Answering Points). You understand that occasionally there may be instances where the limitations of the PSAPs determine the level of E911/911 services that you receive. For instance, E911/911 PSAP operators may or may not be able to access the ALI Database in order to automatically retrieve information pertaining to a registered DID, such as caller name and address, and so in such instances, you may be required to verbally provide this information to the PSAP operator at the time the call is placed. For this reason, One Stop Telecom can make no guarantees about the consistency of the E911/911 services, with regard to PSAP operators being able to automatically retrieve and view caller information.

    2.6 INSTANCES WHERE E911/911 SERVICES MAY NOT BE AVAILABLE – You understand that while the One Stop Telecom -provided VOIP service closely approximates traditional 911 services, there may be instances in which the E911/911 Services may function differently from traditional 911 services, or may not be available. Additionally, there may be circumstances in which the E911/911 Services may be delayed or may not be available to you. Such circumstances may include, but are in no way limited to the following:

    • Electrical Power Outage or Broadband Internet Service Provider (ISP) outage or unavailability;
    • Suspension or Termination of Customer’s account(s) or VOIP service(s);
    • Relocation of Customer’s VOIP IAD(s) or IP Phone Equipment to an address other than the one given at activation, without updating the E911 Registered Address Location with One Stop Telecom;
    • Unsuitable broadband internet connection such as satellite internet; Malfunction, Failure, or Improper Configuration of Subscribers’ VOIP IAD(s) or IP Phone Equipment, or using an unapproved or unsupported VOIP IAD(s) or IP Phone Equipment;
    • Deficits or limitations of the PSAP, National Emergency Call Center, Emergency Services Operators or Personnel systems or equipment;
    • Unforeseen congestion on the One Stop Telecom VOIP network or network design factors which delay or prohibit Services;
    • Incorrect Customer-supplied Registered Location Information;
    • Customer or User tampering with the VOIP IAD(s) or IP Phone Equipment, producing changes which prohibit utilization of the E911/911 services;
    • E911 location updates to the One Stop Telecom database will generally be available within forty-eight (48) hours or less. However, One Stop Telecom cannot guarantee that this will always be the case, especially if the E911/911 Registered Location Address update provided by customer is lacking or incongruent with the parameters of the One Stop Telecom customer portal/database and subsequently produces a rejection of the Registered Location Address update;
    • Use of a Mobile App or PC Softphone application in which the e911 call originated from an address not previously registered with the One Stop Telecom database;
    • Any other unspecified circumstances which affect the use of the E911/911 services.

     2.7 ALTERNATIVE 911 OR EMERGENCY DIALING ARRANGEMENTS – You acknowledge that One Stop Telecom does not offer alternate primary line or lifeline services. It is strongly recommended that you always have an alternative means of accessing traditional 911 or Emergency Dialing Services.

    1. ELECTRONIC COMMUNICATIONS – When you visit One Stop Telecom’s websites or portals, send email or fax, or engage in instant message conversations, you are communicating with One Stop Telecom electronically and understand that all such communication between you and One Stop Telecom shall constitute official communication which is legally binding. You also consent to receive communications from us electronically. You understand that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
    2. CHANGES TO THIS AGREEMENT

    4.1 CHANGES OF THE TERMS AND CONDITIONS AGREEMENT AND CHANGES TO PRICING – One Stop Telecom may change the Terms and Conditions of this Agreement and Pricing at any time. The revised Terms and Conditions shall be effective as of the date that such revised Terms and Conditions are posted online at https://onestop.expert/terms-conditions/. One Stop Telecom will provide at least thirty (30) days’ written notice of any material pricing changes; pricing changes affecting month-to-month plans become effective upon posting. One Stop Telecom may provide courtesy notice of such changes via email or other means. Your continued use of the Services following the effective date of any change constitutes your acceptance of the revised Terms and Conditions. If you do not agree to a material change, your sole remedy is to terminate the Services prior to the effective date of such change.

    1. CHARGES / PAYMENTS / DEFAULT / TAXES / TERMINATION

    5.1 BILLING – You must provide One Stop Telecom with a valid credit card number (Visa, MasterCard, Discover, American Express) at the time the Service is activated. Any other payment method must be approved by One Stop Telecom. One Stop Telecom reserves the right to stop accepting credit card payments at any time. If the credit card on file for you expires, a credit card account is closed, billing address changes, or the card is cancelled and replaced due to loss or theft, you must immediately advise One Stop Telecom. All Monthly Recurring Charges, applicable taxes and surcharges, are billed monthly in advance (except for overage charges and usage charges which are billed monthly in arrears) to your credit card, along with Activation Fees, Monthly, International Usage Charges, Advanced Feature Charges, Equipment Purchases, Cancellation Fees and Shipping & Handling Charges. One Stop Telecom retains the right to change Pricing Plans and bill at more frequent intervals if the Usage Amount (not including the Monthly Recurring Charge) due to One Stop Telecom at any time exceeds $100.00. Any usage charges will be billed in increments that are rounded up to the nearest minute except as otherwise set forth in the rate schedules found on One Stop Telecom website.

    5.2 BILLING DISPUTES – If you dispute any One Stop Telecom charges appearing on your statement, If you dispute any One Stop Telecom charges appearing on your statement, you must make One Stop Telecom aware of the dispute in writing (email or otherwise) within fourteen (14) days after receiving your One Stop Telecom statement. If charges are not disputed with fourteen (14) days, you waive any disputes concerning those charges and agree that they are acceptable and valid. Notice of billing disputes should be mailed to: Customer Care Billing Department, One Stop Telecom, 123 E 9th St Suite 343 Upland CA 91786, or emailed to billing@onestop.expert.

    5.3 PAYMENT – One Stop Telecom accepts payments by check, credit card, PayPal, or bank wire transfer. Your use of the Service authorizes One Stop Telecom to charge the account or credit card number on file with One Stop Telecom including any changed information given One Stop Telecom if the card expires or is replaced, or if you substitute a different card, for One Stop Telecom charges. This authorization will remain valid until 30 days after One Stop Telecom receives your written notice terminating One Stop Telecom’s authority to charge your credit card, whereupon One Stop Telecom will charge you the disconnect fee and any other outstanding charges and terminate the Service. One Stop Telecom may terminate your Service at any time in its sole discretion, if any charge to your credit card on file with One Stop Telecom is declined or reversed, your credit card expires and you have not provided One Stop Telecom with a valid replacement credit card, or in case of any other non-payment of account charges. There is a $30.00 charge for checks returned for NSF (non-sufficient funds) and for Credit Cards or ACH Payments that are declined for NSF. Termination of Service for declined or expired card, checks returned for NSF, reversed charges, or non-payment leaves you FULLY LIABLE to One Stop Telecom for ALL CHARGES ACCRUED BEFORE TERMINATION as well as any other fees pertaining to remaining contractual obligations and for all costs incurred by One Stop Telecom in collecting such amounts, such as (but not limited to) collection costs and attorney’s fees.

    5.4 PREPAID ACCOUNTS – One Stop Telecom may offer or require certain accounts to be prepaid. Service types subject to prepayment may include, but may not be limited to: Calling Card, Call Center, IVR, Customers Not Paying By Credit Card, or any other application as determined by One Stop Telecom. Prepayment is normally based one (1) month’s estimated usage, plus a setup fee. The prepayment shall be applied to your account and will be drawn down against usage, monthly recurring or non-recurring fees. You will be notified by One Stop Telecom when the only twenty percent (20%) of the prepayment amount remains on the account. At that time, you will be asked to replenish the prepayment amount so that Services may be continued. Failure to replenish the prepayment amount with One Stop Telecom before the prepayment funds are depleted will result in cessation of Services. Services may be continued when prepayment funds are received by One Stop Telecom.

    5.5 TERMINATION/DISCONTINUATION OF SERVICE – One Stop Telecom reserves the right to suspend or discontinue the Service, or to terminate your Service, at any time in its sole discretion. If One Stop Telecom discontinues providing the Service entirely, or terminates your Service solely due to One Stop Telecom’s own uncured breach of this Agreement, you will only be responsible for charges accrued through the date of termination, including a pro-rated portion of the final months’ charges. In all other cases of termination or suspension initiated by One Stop Telecom (including termination for cause or improper use), you will remain responsible for the remaining MRCs in your agreed-to Contract Term plus any applicable disconnection fees, all of which become immediately due and payable. If your Service is terminated for any stated reason, or because of improper use of the Service, IP Phone Equipment, Fax ATA(s), or IAD(s), you will be responsible for the full month’s charges to the end of the current term and any remaining MRCs in your agreed-to Contract Term, plus a disconnection fee of $39.95 per account, all of which immediately become due and payable. If you terminate Services prior to the end of your original Contract Term, you will be responsible for the remaining Monthly Recurring Plan Charges for each billable month left in your Contract Term, plus a cancellation fee of $39.95 per account, a $5.00 cancellation fee per DID, plus any other unbilled charges, all of which become immediately due and payable upon termination or cancellation of Service/Contract. If you are on a month-to-month Contract Term, you will be charged a disconnect fee of $39.95 per account upon disconnection or service termination. You will not be subject to a disconnection fee if you fulfill your agreed-to Contract Term, but will still be subject to $5.00 cancellation fee per DID. The disconnect fees become due and payable immediately upon Service disconnection/termination and will be billed directly to your account or credit card. If your account was suspended by One Stop Telecom for non-payment, you must pay any outstanding invoices, plus a Re-connection Fee of $49.95 per SIP Trunk before Service is restored by One Stop Telecom.

    5.6 TAXES – You are responsible for, and shall pay, any applicable federal, state, provincial, municipal, local or other governmental sales, use, excise, value-added, personal property, public utility or other taxes, fees or charges now in force or enacted in the future, that arise from or as a result of your subscription or use or payment for the Services and related equipment. Such amounts are in addition to your base payment for the Services and will be billed to your credit card as set forth in this Agreement. If you are exempt from payment of such taxes, you shall provide One Stop Telecom with an original certificate that satisfies applicable legal requirement attesting to tax-exempt status. Tax exemption will only apply from and after the date One Stop Telecom receives such certificate.

    5.7 PAYPHONE CHARGES – If you make use of One Stop Telecom Toll Free Services you acknowledge and agree that One Stop Telecom is entitled to recover from you any charges imposed on One Stop Telecom by payphone owners or operators, either directly or indirectly through One Stop Telecom’s suppliers in connection with toll free calls made to your number, or any charges imposed upon One Stop Telecom by its suppliers to recover such costs. One Stop Telecom may recover these amounts by means of a per-call charge, rounded up to the next cent, or in such other fashion, as One Stop Telecom deems appropriate for the recovery of these costs.

    5.8 INTERNATIONAL & DOMESTIC RATES – One Stop Telecom makes every attempt to keep the domestic and international per minute rates consistent. From time to time, however, it may be necessary to increase or decrease the rates due to changes in underlying wholesale costs or legislation enactments that are not under the control of One Stop Telecom. In the event that there must be a change to One Stop Telecom’s domestic or international rates, you will be notified in writing at least thirty (30) days prior to such change taking effect, except where changes are mandated by legislation or regulatory action, in which case the change will become effective as soon as practicable with as much advance notice as possible. The rate change will be reflected on your One Stop Telecom bill from the effective date of the change forward.

    5.9 LATE FEES – All invoices are due within fifteen (15) days of the invoice date. It is your responsibility to ensure that One Stop Telecom has the most current and up-to-date information for the billing contact for your company. The contact information required for your billing contact is  1) email  and  2) phone number. Invoices not paid by the invoice date will be assessed a $25 late fee. Incorrect or inaccurate contact information for your billing contact, spam filters preventing the invoice from reaching your inbox, or any other reason for which you did not receive the invoice do not constitute a reason for waiving the late fee.

    1. WARRANTY OF SERVICES, LIMITATION OF LIABILITY, AND INDEMNIFICATION

    6.1 AVAILABILITY OF SERVICES – One Stop Telecom makes no warranties or claims, nor guarantees regarding the reliability or availability of the Services. Additionally, One Stop Telecom is not liable for any delay or failure to provide the VOIP/E911/911 services including, at any time or from time to time, or any interruption or degradation of voice quality that is caused by, but in no way limited to, any of the following events: 1.) Act of an underlying carrier, service provider, vendor or other third party; 2.) Equipment, network or facility failure, upgrade, or modification; 3.) Events such as (but not limited to) natural disasters, acts of god, power outages; strikes; fire; war; riot; government actions; 4.) Equipment, network or facility shortage or relocation; 5.) Service, equipment, network or facility failure caused by loss of power; 6.) Outage of Customer’s ISP or broadband service provider; 7.) Act of Customer or any person using the Service, IP Phone Equipment, Fax ATA(s), or IAD(s) provided to Customer; or 8.) Any other cause that is beyond One Stop Telecom’s direct control, including without limitation a failure of or defect of IAD, IP Phone Equipment, or Fax ATA(s), failure of a communication, the inability of communications (including without limitation 411, E911/911, or Fax dialing) to be completed, or degradation of voice quality. One Stop Telecom’s liability for (i) any failure or mistake; (ii) any claim with respect to One Stop Telecom performance or nonperformance hereunder or (iii) any One Stop Telecom act or omission in connection with the subject matter hereof shall in no event exceed Service charges with respect to the affected time period.

    6.2 INDEMNIFICATION AND LIMITATION OF LIABILITY – By agreeing to these Terms and Conditions, you agree to indemnify, defend, and hold harmless One Stop Telecom, its directors, officers, employees, affiliates, agents, partners, technicians, and underlying service or database providers (collectively, “Carrier Parties”), from and against any and all third party demands, liabilities, losses, damages, costs, fines, penalties, and direct, indirect, consequential, or special losses, damages or claims of any kind (including, but not limited to, attorney’s and other professionals’ fees, third party claims, loss of life, loss of business or profits, loss of customers, and damage to reputation or goodwill), asserted against or incurred by the Carrier Parties arising from or relating to the Services, whether sustained by you, household family members, colleagues, coworkers, employees, partners and affiliates, or end, circumstantial, or third party users of the Service, due to or resulting from any failure in or breakdown of the Service, facilities, or systems associated with providing the Service, or for any delay, interruption or degradation of the Services, regardless of the cause or duration thereof, or for any other cause or claim arising under the Terms and Conditions.

    IN NO EVENT SHALL ONE STOP TELECOM, ITS OFFICERS, AFFILIATES, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS OR ANY OTHER SERVICE PROVIDERS WHO FURNISH THE UNDERLYING SERVICES (COLLECTIVELY “ONE STOP TELECOM PARTIES”) BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA, COST OF SUBSTITUTE GOODS OR SERVICES, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH OR ARISING OUT OF SERVICES OR THE PERFORMANCE OF OR FAILURE TO PERFORM THIS AGREEMENT, WHETHER ALLEGED AS A BREACH OF CONTRACT OR TORTIOUS CONDUCT, EVEN IF ONE STOP TELECOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    ADDITIONALLY, IN NO EVENT SHALL ONE STOP TELECOM PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR ANY OTHER DAMAGES, INCLUDING, BUT NOT LIMITED TO LOSS OF LIFE, PROFIT, REVENUE, DATA, OR ANY OTHER DAMAGES ASSOCIATED WITH THE USE OR INABILITY TO USE THE SERVICE, INCLUDING INABILITY TO DIAL FAX, +0, 411, 911 OR ACCESS OTHER EMERGENCY SERVICE PERSONNEL THROUGH THE SERVICE. THE LIMITATIONS SET FORTH HEREIN APPLY TO CLAIMS FOUNDED IN BREACH OF CONTRACT, BREACH OF WARRANTY, PRODUCT LIABILITY, TORT AND ANY AND ALL OTHER THEORIES OF LIABILITY AND APPLY WHETHER OR NOT ONE STOP TELECOM WAS INFORMED LIKELIHOOD OF ANY PARTICULAR TYPE OF DAMAGES.

    NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, THE TOTAL LIABILITY OF ONE STOP TELECOM TO YOU HEREUNDER SHALL NOT EXCEED THE SUM OF THE FEES PAID TO ONE STOP TELECOM IN THE SIX-MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE ALLEGED LIABILITY.

    6.3 NO WARRANTIES ON SERVICE – One Stop Telecom makes no warranties (express or implied and without limitation), any implied warranties of merchantability, fitness of the Services for a particular purpose, title or non-infringement or any warranty arising by usage or trade, course, or dealing or course of performance or any warranty that the Services will meet your expectations or requirements. Customer acknowledges that any Devices (defined below) are not designed for fail-safe or life-critical applications.  Additionally, One Stop Telecom does not warrant that the Service will be without failure, delay, interruption, error, and degradation of voice quality or loss of content, data or information. Neither One Stop Telecom nor its officers, directors, employees, affiliates, agents or any other service provider or vendor who furnishes services or products which are used to deliver the Services, will be liable for unauthorized access to One Stop Telecom’s or Customer’s or a vendor’s transmission facilities or on premise equipment for unauthorized access to or alteration, theft, or destruction of your data files, information, programs, procedures, software or hardware through accident, fraudulent means or IADs or any other method, regardless of whether such damage occurs as a result of One Stop Telecom’s or its underlying service providers or vendors negligence. Statements and descriptions concerning the Service, IP Phone Equipment, Fax ATA(s), or IAD(s), if any, by One Stop Telecom or One Stop Telecom’s employees, agents, installers or technicians are informational and are not given as warranty.

    6.4 NO WARRANTIES, OR LIMITED WARRANTIES, FOR IAD(S), IP PHONE EQUIPMENT, OR FAX ATA(S) – If you received a new IAD, IP Phone Equipment, or Fax ATA from One Stop Telecom and it included a limited manufacturer’s warranty at the time of receipt, you should refer to the warranty documentation provided with the IAD, IP Phone Equipment, or Fax ATA for information on the rights, disclaimers, and limitations afforded to you as a purchaser of the IAD, IP Phone Equipment, or Fax ATA. If your IAD, IP Phone Equipment, or Fax ATA did not include a limited warranty at the time of receipt, you accept the IAD, IP Phone Equipment, or Fax ATA as is and understand that you are not entitled to a replacement or refund in the event of any defect or failure. One Stop Telecom makes no warranties (express or implied) of any kind for the IAD, IP Phone Equipment, or Fax ATA other than the warranties expressly set forth in the documentation provided with the IAD, IP Phone Equipment, or Fax ATA. One Stop Telecom specifically disclaims any warranty of merchantability, fitness of any provided Devices, including without limitation, the IAD, IP Phone Equipment, or Fax ATA for a particular purpose, title or non-infringement, or any warranty arising by usage or trade, course of dealing, or course of performance or any warranty that the IAD, IP Phone Equipment, or Fax ATA or any hardware or software is error free or will meet your expectations or requirements. The foregoing will not be deemed to limit any disclaimer or limitation of warranty set forth in the documentation provided with the IAD, IP Phone Equipment, or Fax ATA.

    6.5 APPLICABILITY OF TERMS AND CONDITIONS TO CUSTOMERS PROCURED THROUGH THIRD PARTY SALESPERSONS OR PROVIDERS – These Terms and Conditions shall apply to all Customers, including any Customers that make use of One Stop Telecom services as a result of a third party sales agent, bundling agreement, third party leasing, or any arrangement whereby Customer uses Our Service. However, Customer acknowledges and agrees that One Stop Telecom is not responsible for any representations, warranties, or covenants made, suggested, or implied, whether in writing or orally, by any third party. One Stop Telecom shall only be liable for the representations, warranties, and covenants included in this Agreement.

    6.6 DISCLAIMER OF RESPONSIBILITY AND LIABILITY FOR THIRD PARTY ACTIONS – Customer acknowledges and agrees that One Stop Telecom is not responsible for the actions or inactions of third parties, including any sales and leasing intermediaries, external installers, consolidated/bundled service companies, or any other non-Carrier personnel (“Third Parties”).  Any One Stop Telecom Services procured via such Third Parties may be subject to separate terms of services and Customer acknowledges and agrees that One Stop Telecom is not responsible or liable for any disruption in Service caused by such terms or the actions or inactions of such Third Parties. In the event of a Service disruption caused by a Third Party, Customer acknowledges and agrees that they shall solely seek redress from such Third Parties.

    6.7 PAYMENT OF SERVICES THROUGH THIRD PARTY – In the event that Customer has purchased and/or leased Service through a Third Party, Customer is solely responsible for any financial arrangements or contractual obligations made with such Third Party. If Customer elects to terminate or cancel One Stop Telecom’s Service, such termination or cancellation may not alter Customer’s obligations to the Third Party through which Customer procured One Stop Telecom’s Service, including payment obligations.  Customer acknowledges and agrees that the terms of such Third Party agreement govern the arrangement between Customer and the Third Party, separate from this Agreement with One Stop Telecom, and Customer is solely responsible for compliance with such terms. Customer further acknowledges that in the event that a Third Party intermediary breaches its own obligations to One Stop Telecom, by, for example, failing to pay for the Service or by becoming insolvent or going out of business, then One Stop Telecom has the right to terminate all associated Service without notice to Customer.

    6.8 DATA & CONTENT – You acknowledge and agree that you are solely responsible for all Customer data. One Stop Telecom is not responsible for any Customer data loss.  You further acknowledge and agree that you are responsible for any liability arising out of the content transmitted by or to you or your user* when using the Services. You must assure that your or your user’s use of the Services will at all times comply with all applicable laws, regulations and written and electronic instructions for use. One Stop Telecom reserves the right to terminate or suspend affected Services, and remove your content from the Services, if One Stop Telecom determines that such use or content does not conform with the requirements set forth in this Agreement or interferes with One Stop Telecom’s ability to provide Services to you or others, or receives notice that your use or content may violate any laws or regulations. One Stop Telecom’s actions or inaction under this Section shall not constitute review or approval of your use of the Services or your content. You agree to indemnify and hold One Stop Telecom harmless against any and all liability arising from the content transmitted by or to you or your user while using the Services. * A “USER” MEANS ANY PERSON, WHETHER AUTHORIZED OR UNAUTHORIZED, USING THE SERVICE, IP PHONE EQUIPMENT, FAX ATA, OR IAD PROVIDED TO THE ONE STOP TELECOM CUSTOMER.

    1. GOVERNING LAW, DISPUTE RESOLUTION, AND MISCELLANEOUS

    7.1 WAIVER OF TRIAL BY JURY – Both Parties acknowledge and agree that all Disputes (as defined in Section 7.3) shall be resolved exclusively through binding arbitration as set forth in Section 7.3, and hereby waive any right to have such Disputes resolved by a judge or jury in court, except as expressly provided in Section 7.3. You understand that this provision constitutes a waiver of any right to trial by jury for matters subject to arbitration under this Agreement.

    7.2 GOVERNING LAW – The Agreement and the relationship between you and One Stop Telecom shall be governed by and interpreted in accordance with the laws of the State of California applicable to contracts made and to be performed in California, without reference to principles of conflicts of laws. The Parties agree that any arbitration, legal action, or proceeding arising out of or relating to this Agreement shall be brought exclusively before arbitrators and state or federal courts located in San Bernardino, California.  Each Party hereby irrevocably submits to the jurisdiction of such arbitrators and courts.  The Parties may mutually agree in writing to an alternative venue for specific disputes. One Stop Telecom’s failure to exercise any right or provision of the Agreement shall not constitute a waiver of such right or provision.

    7.3 ARBITRATION.  The Parties agree that any claim, dispute, or controversy arising out of, relating to, or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, or termination (collectively, “Disputes“), shall be resolved exclusively through binding arbitration.  Arbitration shall be the sole method for resolving such Disputes, and no Party shall bring an action in court, except as provided herein. The arbitration shall be conducted under the rules of the American Arbitration Association (“AAA”) or another arbitration provider agreed upon by the Parties.  If no provider is agreed upon, the arbitration shall proceed with AAA.  The arbitration shall be held in San Bernardino, CA, before a single arbitrator with expertise in the subject matter of the dispute.  The Parties may mutually agree in writing to an alternative venue for specific disputes.  The arbitrator’s decision shall be final and binding on all Parties, and judgment on the award may be entered in any court having jurisdiction. The arbitrator shall have the authority to award any relief that would otherwise be available in a court of law in California, including injunctive and declaratory relief.  The arbitrator shall apply California substantive law to the merits of any dispute or claim and shall not apply any conflict of law principles that would otherwise refer the interpretation of this Agreement to the laws of another jurisdiction. The costs of arbitration, including any AAA administrative fees and arbitrator compensation, shall be shared equally by the Parties unless the arbitrator’s award provides otherwise.  The arbitrator may award the prevailing Party, in addition to any other relief awarded or granted, its costs and expenses (including reasonable attorneys’ fees and expert witness fees) incurred in any such proceeding. Notwithstanding the above, either Party may seek equitable relief, such as a temporary restraining order, preliminary injunction, or other provisional relief, in a court of competent jurisdiction in California, if necessary to protect its rights or interests pending the outcome of arbitration. Such action shall not be considered a waiver of the obligation to arbitrate.

    7.4 CONTRACTUAL LIMITATION PERIOD FOR CLAIMS.  TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU MUST FILE ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES (INCLUDING, WHERE APPLICABLE, THE DATE ON WHICH THE FACTS GIVING RISE TO THE CLAIM WERE DISCOVERED OR REASONABLY SHOULD HAVE BEEN DISCOVERED), OR SUCH CLAIM WILL BE PERMANENTLY BARRED. THIS LIMITATION DOES NOT APPLY TO CLAIMS FOR WHICH A SHORTER OR LONGER PERIOD IS REQUIRED OR PROHIBITED BY APPLICABLE LAW.

    7.5 ENTIRE AGREEMENT – This Agreement together with any Order documentation (including rate schedules, services quotes, or other related documents) constitutes the entire agreement between the Parties and governs your use of the Service, IP Phone Equipment, Fax ATA or IAD. This entire agreement supersedes any prior agreements between the Parties and any and all prior or contemporaneous statements, understandings, writings, commitments, or representations concerning its subject matter, including any representations made by third-party sales agents or resellers. No amendment to this Agreement shall be binding upon One Stop Telecom unless and until posted in accordance with Section 4.1 hereof. Customer acknowledges that it has not relied on any representation, warranty, or statement not expressly set forth in this Agreement in deciding to enter into this Agreement.

    7.6 SEVERABILITY – If any provision of this Agreement is held by a court of competent jurisdiction to be void, invalid, or unenforceable, then that provision shall be enforced to the maximum extent permissible, and the remaining terms and provisions of this Agreement shall continue in full force and effect.  To the extent permitted by applicable law, the Parties agree to and do hereby waive any applicable statutory and common law that may permit a court to construe a contract against its drafter.

    7.7 ASSIGNMENT – This Agreement is personal to the Parties and may not be assigned or transferred by either Party without the prior written consent of the other Party which consent shall not be unreasonably withheld; except that One Stop Telecom may assign this Agreement without consent to any affiliated entity or to any successor in interest whether by merger, reorganization or transfer of all or substantially all of its assets or otherwise. Except as provided herein, any assignment in contravention of the above shall be void and ineffective.

    1. PRIVACY– One Stop Telecom Service utilizes the public Internet and various third party networks to transmit voice communications. One Stop Telecom collects and processes certain personal information about you in connection with the Services, including contact information, billing information, call records, and usage data (collectively, “Customer Data“). One Stop Telecom uses Customer Data solely for the purposes of providing, managing, and improving the Services, processing payments, complying with legal obligations, and as otherwise described in One Stop Telecom’s Privacy Policy available at https://onestop.expert/privacy-policy/. One Stop Telecom will not sell your personal information to third parties. One Stop Telecom will disclose Customer Data to third parties only as necessary to provide the Services (e.g., underlying carriers, payment processors, and E911 database providers), as required by law or regulation, or as described in the Privacy Policy. One Stop Telecom implements reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, or loss. In the event of a data breach affecting your personal information, One Stop Telecom will notify you as required by applicable law. California residents may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know, delete, and opt out of sale of personal information. To exercise these rights, contact One Stop Telecom at privacy@onestop.expert or (530) 663-7867. One Stop Telecom is not liable for any invasion of privacy experienced by Customer arising from Customer’s own use of the Service or from third-party actions outside One Stop Telecom’s direct control.
    2. NOTICES English is the official language of this Agreement and all communications between the Parties must be in English. Notices of a legal nature under this Agreement, including without limitation, notice of termination, breach, fraud, or billing dispute, must be in writing and shall be deemed validly given upon confirmed receipt, if: (a) personally delivered; (b) delivered via a reputable overnight courier with fees prepaid; (c) delivered via registered or certified mail, postage prepaid, to the addresses set forth in this Agreement or such other address as a Party designates in writing; or (d) delivered via email to the addresses specified in this Agreement. Notices to One Stop Telecom must be sent to: One Stop Telecom, Inc., 123 E 9th St Suite 343, Upland, CA 91786, Attn: Legal. Emailed notices to One Stop Telecom at legal@onestop.expert are only deemed valid upon confirmation or acceptance by One Stop Telecom. Notices to Customer will be sent to the billing contact email address on file with One Stop Telecom.
    3. SURVIVAL – The following provisions shall survive the expiration or termination of this Agreement for any reason and shall continue in full force and effect: Section 1.5 (Lawful Use and Prohibited Uses), Section 1.9 (Tampering), Section 1.11 (Number Release), Section 5 (Charges, Payments, Taxes, and Termination Fees), Section 6 (Warranty, Limitation of Liability, and Indemnification), Section 7 (Governing Law and Dispute Resolution), Section 8 (Privacy and Data), and Section 9 (Notices). Termination shall not relieve either Party of obligations accrued prior to the effective date of termination.
